Terms of Service

Agreement to these Terms

Sundream is a service operated by Smith & Johnson, Inc., a Delaware corporation ("Sundream", "we", or "us"). These Terms of Service are an agreement between you and Smith & Johnson, Inc., and govern your access to and use of Sundream, including our website, application, AI-assisted creative tools, team workspaces, APIs, generated media workflows, and related services.

By creating an account, joining a workspace, or using the service, you agree to these Terms. If you use Sundream for an organization, you represent that you have authority to bind that organization.

Our Privacy Policy explains our handling of personal information. Our AI Safety Policy and Refund & Cancellation Policy are incorporated into and form part of these Terms. A separate order form, enterprise agreement, or data-processing agreement governs where it expressly conflicts with these Terms.

Eligibility and accounts

• You must be at least 18 years old, or the age of majority where you live, unless Sundream approves a different arrangement in writing.
• You are responsible for account activity, credentials, team invitations, and permissions granted under your account.
• You must provide accurate account information and promptly update it when it changes.
• You must notify us if you believe your account or workspace has been compromised.

Your content

You retain ownership of scripts, prompts, files, images, videos, characters, references, project notes, and other content you submit to Sundream, subject to any third-party rights and applicable law.

You grant Sundream a worldwide, non-exclusive, limited license to host, copy, process, transmit, display, modify, and create technical derivatives of your content only as needed to provide features you request; maintain, secure, troubleshoot, and support the service; prevent abuse; comply with law; and enforce these Terms. The license lasts only as long as needed for those purposes, subject to the retention described in our Privacy Policy.

Service improvement under this license means product reliability, debugging, evaluation, and safety work. It does not authorize us to train Sundream-owned foundation models on private workspace content, assistant conversations, or voice samples without an express opt-in or separate written agreement.

You represent that you have the rights, permissions, notices, and consents needed to submit and process your content. For a voice clone, you specifically represent that the sample is your voice or that the person whose voice it is validly authorized the cloning and intended use.

Generated outputs

Subject to these Terms, applicable plan terms, and third-party rights or provider restrictions, you may use generated outputs for lawful personal or commercial projects. As between you and Sundream, and to the extent Sundream acquires transferable rights in an output, Sundream assigns those rights to you when the output is created. This does not transfer rights in Sundream technology, third-party materials, other users' content, or elements that the law does not permit us to transfer.

You are responsible for reviewing outputs before publishing or distributing them, obtaining any clearance the intended use requires, and making disclosures required by our AI Safety Policy or law.

AI outputs may be similar to outputs generated for other users, may contain errors, and may not be protectable by copyright in every jurisdiction. Sundream does not guarantee originality, exclusivity, legal clearance, or fitness for a particular use.

Third-party services

Sundream relies on third-party providers for authentication, storage, databases, hosting, payments, analytics, AI models, speech, voice cloning, and media generation. Features powered by those providers may be subject to disclosed technical limits and provider-specific restrictions. The providers that process customer data on our behalf, and the categories of data they receive, are listed on our Subprocessors page.

Data protection

Our Privacy Policy describes how we handle personal information. Where we process personal data on your behalf and that processing is subject to the GDPR or comparable law, our Data Processing Addendum forms part of these Terms and applies automatically — no separate signature is needed.

Acceptable use

You must comply with our AI Safety Policy, including its rules for voice and likeness consent, synthetic-media disclosure, and preservation of provenance markers. You are responsible for anyone who uses the service through your account, workspace, API key, or credentials.

• You may not use Sundream to violate law, commit fraud, compromise systems, create malware, bypass security controls, or evade usage limits.
• You may not create, request, upload, or distribute child sexual abuse material, sexual content involving minors, non-consensual intimate imagery, or sexualized depictions of real people without consent.
• You may not use realistic AI media to impersonate a person, brand, public figure, or organization in a deceptive or harmful way.
• You may not use the service for targeted harassment, threats, doxxing, hate, extremist activity, or discriminatory high-impact decisions.
• You may not upload or generate content that infringes copyright, trademark, publicity, privacy, contractual, or other rights.
• You may not scrape, reverse engineer, probe, benchmark for competitive replication, or access the service through unauthorized automated means, except to the extent a restriction is prohibited by law or we authorize the activity in writing.

Subscriptions, billing, and credits

Paid subscriptions renew automatically for the interval shown at checkout until cancelled. Fees, included credits, usage limits, taxes, renewal terms, and cancellation controls are shown at checkout, in an order form, or in workspace billing settings. You may cancel future renewals through billing settings or the payment-provider portal.

Credits are limited, non-transferable service-use units, have no cash value, and may expire as described at purchase or in our Refund & Cancellation Policy. A generation consumes credits when it runs because the underlying compute cost is incurred even when you do not prefer the creative result.

Fees are non-refundable except as set out in our Refund & Cancellation Policy or where a refund is required by law.

We may add, modify, suspend, or discontinue features, models, limits, or pricing. We will provide notice when changes materially affect paid plans or legal rights.

Beta features

Some features may be marked alpha, beta, experimental, preview, or playground. These features may be incomplete, change without notice, produce unexpected results, or be discontinued.

Sundream intellectual property

Sundream and its software, interface, workflow design, documentation, brand, logos, and underlying technology are owned by Sundream or its licensors. These Terms do not grant you ownership of Sundream technology or brand assets.

Feedback

If you voluntarily provide product ideas or feedback, you grant Sundream a perpetual, worldwide, irrevocable, royalty-free license to use it without restriction or compensation. This does not give us rights in workspace content merely because it appears in a support request or example.

Content review and enforcement

We may use automated provider filters, abuse signals, and limited human review to investigate suspected violations, respond to reports, protect people or systems, and comply with law. We do not undertake to review every prompt, upload, or output and do not guarantee that every harmful item will be detected.

Depending on severity, history, context, and legal obligations, we may block a request, remove or disable content, restrict a feature or API key, issue a warning, preserve relevant evidence, suspend a workspace, or terminate an account. Serious or urgent violations may result in immediate action. Our AI Safety Policy explains reporting and appeals.

Copyright and rights complaints

If you believe content available through Sundream infringes your copyright, see our DMCA & Copyright Policy, which sets out our designated agent and the notice and counter-notice process. Copyright notices sent through that process reach us fastest and are the ones we can act on.

For trademark, publicity, privacy, or other rights complaints, contact support@sundream.studio with enough information for us to identify the material, understand the rights at issue, and contact you. We may remove content, disable access, suspend workspaces, or terminate repeat infringers where appropriate.

Termination

You may stop using Sundream at any time. We may suspend or terminate access if you violate these Terms, create risk, fail to pay fees when due, or use the service in a way that could harm Sundream, users, third parties, or the public.

On termination, your right to use the service ends. Provisions that by their nature should survive—including ownership, output limitations, payment obligations, disclaimers, liability limits, indemnity, dispute terms, and this sentence—will survive. Data is handled under the retention and deletion provisions in our Privacy Policy and any applicable agreement.

Service availability and events beyond our control

We do not promise uninterrupted service or that every model or feature will remain available. We may perform maintenance, respond to security or provider failures, and change or discontinue dependencies.

Neither party is liable for delay or failure caused by events beyond its reasonable control, including internet or utility outages, natural disasters, war, civil disorder, labor disputes, governmental action, provider failures, or widespread cyberattacks, except that this does not excuse payment obligations already due.

Disclaimers

Sundream is provided as is and as available. To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, reliability, and accuracy.

Limitation of liability

To the fullest extent permitted by law, Sundream will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities. Our aggregate liability for claims relating to the service will not exceed the greater of the amount you paid to Sundream for the service in the 12 months before the claim or 100 U.S. dollars.

Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless Sundream and its officers, directors, personnel, and affiliates from third-party claims, damages, losses, and reasonable legal fees arising from your content, generated outputs you publish or distribute, your misuse of the service, your violation of these Terms, or your violation of law or third-party rights. We will promptly notify you of a covered claim and reasonably cooperate at your expense. You may control the defense, but may not settle in a way that admits fault by or imposes obligations on an indemnified party without our written consent.

Changes to these Terms

We may update these Terms as the service, providers, risks, and law change. We will update the date above. Changes apply prospectively when posted unless a later date is stated.

If a change materially affects legal rights or obligations, we will provide reasonable advance notice through the service or by email and request renewed acceptance where appropriate. Continuing to use the service after the effective date of a non-material change means the revised Terms govern future use; it does not manufacture an acceptance record or waive a right that applicable law requires you to accept expressly.

Governing law and disputes

Unless a separate written agreement says otherwise, these Terms are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-law rules. Courts located in Delaware will have exclusive jurisdiction, except where applicable law requires another forum.

General terms

These Terms and the policies and agreements incorporated into them are the entire agreement about the service, replacing prior statements on the same subject. If a provision is unenforceable, it will be modified only as much as necessary and the remaining provisions stay effective. A failure to enforce a provision is not a waiver.

You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, financing, reorganization, sale of assets, or transfer of the service, provided the assignee assumes our obligations. There are no third-party beneficiaries except indemnified parties where stated.
